Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Grasp (“Grasp”, “we”, “us”, “our”), including our website, widgets, APIs, mobile interfaces, and other services (“Services”).

By using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Description of the Service

Grasp is a SaaS platform that allows administrators (“Admins”) to create feedback forms, distribute links or QR codes, and collect feedback (“Feedback”) from Respondents.

Optional features include audio transcription, automated sentiment analysis, Slack notifications, and configurable messages shown to Respondents.

Some functionality is currently available free of charge. Paid plans or limits may be introduced later.

2. Eligibility

Admin accounts may only be created and used by individuals 16 years or older, or any higher minimum age required in their jurisdiction.

Respondents may submit Feedback regardless of age, but Admins are responsible for ensuring their use complies with applicable laws.

3. Your Responsibilities

All users — including Admins and Respondents — must use the Service only for its intended purpose: collecting and responding to legitimate feedback.

You may not:

  • abuse or automate access to any feature, including the audio transcription endpoint,
  • use Grasp for bulk transcription, data extraction, or unrelated tooling,
  • attempt to repurpose system features for projects outside genuine feedback collection.

Admins additionally:

  • act as the data controller for Feedback collected,
  • must comply with data protection laws when configuring topics,
  • must provide any legally required notices or consents to Respondents.

Admins are responsible for any actions taken through their accounts.

4. User Content

4.1 Admin Content

Admins may submit content such as topic names, descriptions, settings, and profile images.

By submitting any such content, you grant us a non-exclusive license to host, process, and display it as necessary to operate the Service.

4.2 Feedback Content

Feedback submitted by Respondents is controlled by the Admin who created the topic.

We process Feedback as a data processor under the terms of our Data Processing Agreement and Privacy Policies .

Grasp is not responsible for content submitted by Respondents or how Admins choose to use or classify such content.

5. Fees and Future Changes

The Service is currently offered free of charge.

We may introduce paid plans, feature restrictions, or usage limits in the future.

If pricing or limits change:

  • we will provide reasonable notice,
  • continued use after changes take effect constitutes acceptance,
  • free accounts may be limited in functionality and/or usage volume.

6. Acceptable Use

You must not use the Service to:

  • violate any law or regulation,
  • collect personal data unlawfully or deceptively,
  • submit, share, or disseminate hateful, harassing, racist, discriminatory, or otherwise abusive content,
  • send spam or mass automated submissions,
  • interfere with, disrupt, or compromise system security,
  • misuse the audio transcription or any other endpoint for automated or bulk processing unrelated to legitimate feedback,
  • use the Service for any purpose other than feedback collection and the optional features provided by Grasp,
  • scrape, harvest, reverse-engineer, or bypass access restrictions,
  • upload malware, harmful code, or any content that threatens service integrity.

We may investigate any suspected violation and take action at our discretion.

7. AI Features

The Service may use third-party processors to transcribe audio, generate summaries, or perform sentiment analysis.

These subprocessors are listed on our Subprocessors page .

AI outputs may be inaccurate or incomplete. You agree not to rely on them for high-risk or consequential decisions (e.g., employment screening, legal determinations).

8. Privacy & Data Protection

Our Privacy Policies , Data Processing Agreement , and Subprocessors List form part of these Terms by reference.

These documents explain how we collect and process both Admin and Respondent data.

Admins are responsible for ensuring their use of the Service complies with applicable data protection laws, particularly when collecting personal data.

9. Service Availability & Changes

We may modify, suspend, or discontinue any part of the Service at any time.

We are not liable for:

  • downtime or outages,
  • third-party service failures,
  • data loss resulting from your failure to export or back up data.

We may provide notice of material changes when reasonable.

10. Intellectual Property

All intellectual property in the Service — including software, code, branding, and designs — remains the property of Grasp or our licensors.

You receive a limited, revocable, non-exclusive, non-transferable license to use the Service solely as permitted under these Terms.

You may not copy, modify, resell, or create derivative works of the Service.

11. Termination

We may suspend or terminate access to the Service at any time and for any reason, including but not limited to:

  • violations of these Terms,
  • suspected abuse or security risk,
  • legal or regulatory requirements,
  • operational necessity,
  • prolonged inactivity,
  • or otherwise at our discretion.

Upon termination:

  • Admin account data will be deleted according to our Privacy Policy ,
  • Feedback data will be deleted or anonymized per the Data Processing Agreement ,
  • access to the account and any associated content will be lost.

You may delete your account at any time.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

We do not guarantee:

  • uninterrupted availability,
  • error-free operation,
  • accurate or reliable AI output,
  • accurate transcription,
  • immunity from security incidents.

You use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law:

  • our total liability for all claims in any 12-month period is limited to the greater of €50 or the amount you paid to Grasp during that period (if any),
  • we are not liable for any indirect, incidental, consequential, punitive, or special damages,
  • nothing in these Terms excludes liability that cannot be limited under applicable law.

14. Changes to These Terms

We may update these Terms from time to time.

If updates are material, we will provide notice (e.g., via email or within the Service).

Continued use of the Service after revised Terms take effect constitutes acceptance of the updated Terms.
